Responsible actor. The corporation giving notice of the meeting to act on the merger or consolidation agreement.
Establish that the agreement goes to a section 251(c) meeting.
Identify every voting and nonvoting stockholder required to receive notice.
Prepare the agreement or brief summary and preserve legally effective notice.
Establish the section 251(c) meeting-approval route and every required holder. Other statutory no-vote branches have distinct conditions. This meeting notice does not itself give every separate appraisal-rights notice or perfect a holder’s demand.

- The statute requires at least twenty days before the meeting. The preset’s extra clear-day assumption remains unverified for this corporate act. Court Rule 6 does not settle that company-notice endpoint, so no computed notice date is supplied.
- Give the required meeting information and agreement or summary to voting and nonvoting holders using the applicable notice method. Preserve contents, recorded addresses, method, effective notice date and actual meeting date.

8 Del. C. § 251(c)What distinguishes these statutory branches?
Fictitious meeting planning. A proposed merger agreement goes to a meeting with voting and nonvoting stockholders. The corporation prepares the agreement or summary, establishes the special twenty-day notice lead and separately checks appraisal-rights material. The ordinary ten-day minimum does not replace this special requirement.

Which qualifications change this particular requirement?
- Nonvoting holders
- The notice requirement expressly includes voting and nonvoting stockholders. Do not reduce the notice list to the holders voting on approval.
- Agreement information
- The meeting notice contains a copy of the merger or consolidation agreement or a brief summary. A meeting invitation alone does not supply that material.
- Notice effectiveness
- Section 232 provides applicable corporate notice methods and effectiveness conditions. The court’s electronic filing timestamp is not the corporate notice event.
- Establish the section 251(c) meeting-approval route and every required holder. Other statutory no-vote branches have distinct conditions. This meeting notice does not itself give every separate appraisal-rights notice or perfect a holder’s demand.
