Which established event governs this requirement?

Within 120 days after transaction effectiveness, a person who complied with subsections (a) and (d) may request the statutory statement from the surviving, resulting or converted entity. The request must be written or directed electronically to an information-processing system expressly designated for that purpose in the appraisal notice.

Responsible actor. A person who complied with section 262(a) and (d) and requests the statutory statement.

Obtain the effective-date record and the claimant’s subsection (a) and (d) compliance evidence.

Read the appraisal notice for an expressly designated electronic request system.

Request the aggregate statement identified in subsection (e), not an assumed personal shareholder list.

Establish a qualifying appraisal claimant and the permitted request route. This is an aggregate information request to the entity. It neither files an appraisal petition nor confirms that a claimant has perfected every necessary demand.

8 Del. C. § 262(e)

How is this corporate calendar-day component counted?

  1. The established effective date of the transaction
  2. Count 120 calendar days after effectiveness. Although the petition also uses 120 days, this company request is not a Court filing. Do not borrow the petition’s court-closure or final-day extension. The nominal date remains subject to corporate last-day review.
  3. Give the written request or use the expressly designated electronic system. Preserve the request, recipient or system and actual receipt. The entity’s statement-delivery clock compares receipt with expiry of the applicable demand window.

Current Delaware Code and retained Chancery compilation reviewed. An editorial check does not establish an amendment commencement date. Establish the statutory version applicable to the actual transaction. The Court compilation is current through June 1, 2026.

Reviewed coverage combines the current Delaware Code with the retained June 1, 2026 Chancery compilation. Supported calculators cover established events and final dates from June 1, 2026 through December 31, 2027. This editorial boundary is not statutory commencement or a finding of lateness. Earlier events, backward periods crossing the boundary and later results require renewed edition review. No computed or paid date is supplied outside this coverage.

Which qualifications change this particular requirement?

Required compliance
The statement right belongs to a person who complied with subsections (a) and (d). Receipt of a transaction announcement does not establish that position.
Aggregate information
The statement reports the specified aggregate shares and holders or beneficial owners. A beneficial-owner demand does not make the record holder a separate holder for that aggregate count.
Separate entity delivery comparison
The entity gives the statement within ten days after request receipt or demand-window expiry, whichever is later. The claimant’s 120-day request does not identify the entity’s delivery date by itself.
Editorial coverage

Which corporate acts and records must be completed?

Questions about this particular appraisal requirement

When may an appraisal claimant request the aggregate statement of shares and demands?

Is this the same 120-day act as filing the appraisal petition?

No. Both use effectiveness, but one requests aggregate information from the entity and the other commences litigation in Chancery.

8 Del. C. § 262(e)Entity statement delivery

Can I send an ordinary email to any address?

The electronic branch requires a system expressly designated for this purpose in the appraisal notice. An ordinary email address is not presumed to satisfy that requirement.

8 Del. C. § 262(e)Court petition

Must the company mail its answer within ten days after my request?

The current text says the statement shall be given. It also uses the later request-receipt or demand-expiry limb. Neither mandatory mail nor a request-only clock follows from that text.
